101 Code of Ethics & Conduct

I. PURPOSE
The successful business operation and reputation of the CalSHRM Council is built upon
the principles of fair dealing and ethical conduct of our Council Members. Our reputation
for integrity and excellence requires careful observance of the spirit and letter of all
applicable laws and regulations, as well as a scrupulous regard for the highest standards
of conduct and personal integrity. The Code of Ethics and Conduct policy applies to all
the CalSHRM Council’s Council Members.
The continued success of the CalSHRM Council is dependent upon our California
Chapter’s trust. We are dedicated to preserving that trust. Council Members owe a duty to
the CalSHRM Council, SHRM, and Chapters in California to act in a way that will merit
the continued trust and confidence of the public.
II. POLICY
The CalSHRM Council will comply with all applicable laws and regulations and expects
its Council Members, to conduct business in accordance with the letter, spirit, and intent
of all relevant laws and to refrain from any illegal, dishonest, or unethical conduct. In
addition, CalSHRM Council expects all of its Council Members to act in accordance with
the highest standards of personal and professional integrity in all aspects of their
activities.
In general, the use of good judgment, based on high ethical principles, will guide the
Council Member with respect to lines of acceptable conduct. If a situation arises where it
is difficult to determine the proper course of action, the matter should be discussed
openly with the State Director.
Council Members agree to:
1. Engage in and promote honest and ethical conduct, including the ethical handling
of actual or apparent conflicts of interest between personal and professional
relationships;
2. Avoid conflicts of interest and to disclose to the State Director of the CalSHRM
Council any material transactions or relationship that reasonably could be
expected to give rise to such conflict;
3. Take all reasonable measures to protect the confidentiality of non-public
information about the CalSHRM Council or its Chapters and their members
obtained or created in connection with your activities and to prevent the
unauthorized disclosure of such information unless required by applicable law or
regulation or legal or regulatory process. Any breach of security affecting
Nonpublic Information or Business Information, whether occurring on Council
Member’s property or with regard to data maintained or being processed by the
Council Member, shall be reported to the State Director within 24 hours of the
breach. This requirement applies whether or not the breach is thought to be likely
to result in loss or damage to CalSHRM or its member(s). The notice must
include:
a. The nature of the incident leading to the breach;
b. The type of data compromised and the specific data compromised;
c. The steps taken to remedy the situation; and
d. The steps taken to preclude any future incidents.
4. Produce full, fair, accurate, timely and understandable disclosure in reports and
documents that the CalSHRM Council files with, or submits to, the Franchise Tax
Board, Internal Revenue Service, and other regulators and in other public
communications made by the CalSHRM Council;
5. Comply with applicable governmental laws, rules and regulations, as well as the
rules and regulations of SHRM, of which the CalSHRM Council and its Chapters
are members;
6. Promptly report any possible violation of this Code of Ethics to the State Director
of the CalSHRM Council or any parties or channels listed in the CalSHRM
Council Code of Conduct; and
7. Refrain from directly or indirectly taking any action to fraudulently influence,
coerce, manipulate or mislead the CalSHRM Council or any independent public
auditors for the purpose of rendering the financial statements of the CalSHRM
Council or its subsidiaries misleading.
Compliance with this policy is the responsibility of every CalSHRM Council Member.
Disregarding or failing to comply with this standard of ethics and conduct could lead to
disciplinary action, up to and including removal from the Council. Violations of this
Code of Ethics may also constitute violations of law and may result in civil and criminal
penalties for the Council Member.
